These Terms of Use ("Terms") govern your access to and use of Themis (the "Service"), including our website, our deck-scoring and investment-intelligence tools, our investor database and matching engine, our outreach and messaging features, and any related apps. By creating an account or otherwise using the Service, you agree to these Terms. If you're using Themis on behalf of a company, you're agreeing on that company's behalf and confirming you have the authority to do so.
Themis has two account types: founder accounts, for people raising capital, and investor accounts, for people evaluating startups. Every new investor account — whether you're claiming an existing directory listing or setting up a fresh profile — is manually reviewed by our team before you get dashboard access. This protects founders' confidential Data Room material from fake or unverified investor accounts; most applications are reviewed within a couple of days. You must be at least 18 years old and able to form a binding contract to create an account. You're responsible for keeping your login credentials secure and for all activity that happens under your account.

You retain ownership of everything you upload or create on Themis — your pitch deck, company description, team information, Data Room documents, and messages ("Your Content"). By submitting Your Content, you grant Themis a license to host, process, and display it back to you, and to the specific investors or founders you explicitly connect with or grant access to, solely to operate the Service. We do not sell Your Content, and we do not use it to train third-party foundation models beyond the ordinary processing needed to generate your own evaluation.
Data Room documents are only visible to an investor once you've explicitly granted that investor access. You can revoke that access at any time from your Data Room settings.
Themis maintains a directory of investors compiled from public sources, alongside investors who have signed up and created a Themis account of their own. You'll see two labels on an investor's profile: a directory listing is curated data with no Themis account behind it yet, response time unknown; an investor-managed profile means that investor created and manages their own reviewed Themis account. Neither label implies endorsement of, or obligation to, any specific startup — it only describes where the data came from. If you're an investor and believe your listing is inaccurate, you can claim and edit your profile, or contact us to request removal.
Themis doesn't score startups using a fixed checklist or a simple weighted formula.
Instead, it runs your company through a multi-stage investment intelligence engine designed to simulate how experienced venture investors evaluate opportunities.
Every evaluation begins by transforming your startup into a structured investment profile. Your pitch deck, company information, team, website, traction, financial metrics, product details, market data, uploaded documents, and supporting evidence are analyzed to identify hundreds of investment signals rather than simply extracting text.
These signals are then evaluated independently across specialized investment domains — including founders, product, market, technology, go-to-market, competition, business model, unit economics, fundraising readiness, legal risk, and execution capability. Each domain produces its own assessment together with an evidence confidence score based on the quality and completeness of the available information.
Rather than relying on a single pass, the Themis Investment Intelligence Engine combines these independent evaluations into an Investment Committee. Each committee member reasons only within its own area of expertise before contributing to a final investment recommendation, similar to how partners in a venture firm independently review opportunities before discussing them together.
The final readiness score represents a synthesis of these assessments. Every score is accompanied by supporting evidence, identified gaps, confidence levels, and an explanation of how the conclusion was reached. When evidence is insufficient, Themis lowers confidence rather than inventing certainty.

Unlike traditional scorecards, Themis does not assume every category should contribute equally. The importance of each factor changes based on company stage, business model, geography, industry, fundraising strategy, and available evidence. A pre-seed AI infrastructure company is evaluated differently from a Series A fintech or a consumer marketplace because investors evaluate those businesses differently.
Scores are intentionally conservative. Missing evidence, unsupported claims, or incomplete information reduce confidence and investment readiness rather than being treated as neutral inputs.
Themis is designed to estimate current investability, not predict long-term company success. Great companies may receive modest readiness scores if they have not yet demonstrated the evidence institutional investors typically require at their stage, while weaker businesses cannot achieve high scores through narrative alone.
Themis provides structured investment intelligence to help founders prepare for fundraising and help investors review opportunities more consistently. It is an analytical decision-support system, not a substitute for legal, financial, or investment due diligence.
Founder accounts require a paid subscription after an optional one-time 24-hour trial. Subscription plans, pricing, and included usage limits are shown on our pricing page and may change with notice. Payments are processed by Flutterwave; Themis does not store your card details. Subscriptions renew automatically each billing period until cancelled. You can cancel at any time from your account settings — your access continues until the end of the current billing period, and we don't provide prorated refunds for partial periods except where required by law. Investor accounts are currently free.
Themis can draft outreach messages to investors, but a founder reviews and chooses to send every message themselves — Themis never sends outreach automatically without that review step. You're responsible for the content of messages you choose to send and for complying with applicable anti-spam and communications laws. We apply reasonable daily sending limits to protect deliverability and prevent abuse.
You agree not to: misrepresent your identity, your company, or your fundraising materials; use the Service to send unsolicited bulk communications outside the outreach tools we provide; attempt to scrape, reverse-engineer, or bulk-extract the investor directory; upload content that infringes someone else's rights or that you don't have the right to share; or interfere with the security or normal operation of the Service. We may suspend or terminate accounts that violate this section.
Themis and its licensors own the Service itself — the software, design, evaluation methodology, and Themis branding. Nothing in these Terms transfers any of that to you. You may not copy, modify, or create derivative works of the Service outside of normal, permitted use.
THE SERVICE, INCLUDING ALL EVALUATIONS, SCORES, AND SUGGESTIONS GENERATED BY THE THEMIS INVESTMENT INTELLIGENCE ENGINE, IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. THEMIS DOES NOT GUARANTEE THAT USING THE SERVICE WILL RESULT IN SUCCESSFUL FUNDRAISING, INVESTOR INTEREST, OR ANY PARTICULAR OUTCOME. NOTHING ON THEMIS CONSTITUTES INVESTMENT, LEGAL, TAX, OR FINANCIAL ADVICE, FOR EITHER FOUNDERS OR INVESTORS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEMIS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING LOST FUNDRAISING OPPORTUNITIES, LOST INVESTMENTS, OR LOST DATA. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.
You may stop using Themis and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we reasonably believe your account poses a risk to the Service or other users. On deletion, your deck, evaluation history, and pipeline data are removed, subject to any data we're required to retain by law.
We may update these Terms from time to time. If we make material changes, we'll notify you (for example, by email or an in-app notice) before they take effect. Continuing to use the Service after changes take effect means you accept the updated Terms.
